1. Acceptance of Terms

By accessing, installing, or interacting with Nuvantir Technologies’ software, edge analytics agent nodes, web interfaces, or platform dashboards (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are accepting these terms on behalf of a company, corporation, or other legal entity, you represent that you have the authority to bind such entity to these conditions. If you do not possess this authority or do not agree to these terms, you must immediately cease all access to our Services.

2. License & Account Access

Subject to your compliance with these Terms and any master agreement signed between Nuvantir and your organization, we grant you a non-exclusive, non-transferable, revocable license to access our platform dashboards and run edge computing agent software solely for your internal business and operational optimization.

To access the Services, users must maintain active credentials. You are solely responsible for ensuring the confidentiality of your login details. Any operation conducted via your user credentials will be deemed executed by your organization.

3. Industrial Safety & Responsibilities

Because Nuvantir Services process data connected to real-world industrial machinery, operations, and safety-critical controls, you explicitly acknowledge and agree that:

• Human-in-the-loop: Nuvantir's AI/ML predictive analytics, recommendations, and diagnostic metrics are decision-support aids. They are not substitutes for manual inspection, physical fail-safes, or professional engineering verification.
• Local Plant Regulations: You are responsible for ensuring that any operational changes suggested by Nuvantir's platform comply with your local plant safety procedures, industry standards, and environmental regulations.
• Physical Overrides: Your plants must maintain analog, hardware-level physical overrides to disconnect machinery or trigger emergency stops, independent of software states.

4. Intellectual Property

Nuvantir owns all rights, title, and interest in and to our proprietary technologies, including software code, edge algorithms, neural network configurations, visual interfaces, documentation, logos, and trademarks. You may not reverse-engineer, decompile, or copy the architectural schemes of our Edge agent nodes or Dashboard systems.

You retain all ownership rights over the raw telemetry and operational parameters generated by your machines. You grant Nuvantir a limited, non-exclusive license to process your industrial data solely to generate insights, run predictive calculations, and refine models for your exclusive deployment.

5. Warranty Disclaimers

EXCEPT AS EXPLICITLY PROVIDED IN A WRITTEN ENTERPRISE SERVICE LEVEL AGREEMENT (SLA), THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." NUVANTIR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE ANALYTICS WILL BE 100% ACCURATE OR ERROR-FREE, THAT PREDICTIVE MODELS WILL FORESEE EVERY ANOMALY, OR THAT OPERATING MACHINERY ACCORDING TO SYSTEM SUGGESTIONS WILL PREVENT ALL OUTAGES OR MECHANICAL WEAR.

6. Limitation of Liability

IN NO EVENT SHALL NUVANTIR, ITS DIRECTORS, OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES—INCLUDING LOSS OF PRODUCTION, MECHANICAL DOWN-TIME, PRODUCT DEFECTS, LOST PROFITS, OR SYSTEM INTERRUPTIONS—ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM THESE TERMS OR THE ACCESS TO OUR SERVICES WILL NOT EXCEED THE TOTAL FEES PAID BY YOUR ORGANIZATION TO NUVANTIR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Governing Law

These Terms of Service will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising under these Terms shall be instituted exclusively in the state or federal courts located in Wilmington, Delaware.

8. Updates to Terms

Nuvantir reserves the right to modify these Terms of Service at any time. When updates occur, we will post the revised version on this page and update the "Effective Date" at the top of the terms. Your continued use of the Services after terms modifications constitute acceptance of the updated terms.
